Conditions

These Terms and Conditions apply to all goods and services that you, the Client, purchase or receive from Foresight Security Ltd.

By accepting, receiving and purchasing any of our goods and or services, you are accepting all of these terms and conditions.

Definitions

Incorporation of Conditions

Term of Agreement

The term of this agreement (the "Term") will begin on the date of accepting the quotation, proposal or proposed discussion, whether verbal, email confirmation, signature, written or other.

Statements

  1. The Company may refuse a proposal, quotation or order for any reason prior to confirmation by both parties.
  2. No contract has been formed until verbal and or written confirmation has been provided by the Company.
  3. Quotations provided by the Company are valid for 21 days of sending.
  4. Descriptions and images are for illustration purposes only, as there may be small changes between them and the final product.
  5. All goods and services are subject to availability
  6. It is the responsibiliy of both the Company and Client to report to the other party any errors that may have been noticed in any quotations.
  7. The Company retains title to all Equipment until the Client has paid for both the goods and any other debts due to the Company. The Company reserves the right to enter onto the Client's property to retrieve all goods supplied in default of payment.

The Client's Obligation

  1. The Client agrees that a once verbal or written agreement as been entered into, subsequent changes will need to be submitted in writing by email or physical copy and agreed by both parties prior to taking affect.
  2. The Client will be required to pay a deposit where custom ordered goods are used or works plan to run over 4 days.
  3. The Client agrees to pay the company's invoice in full for goods and services, including VAT at the current rate, within 14 days of the invoice data (unless shorter terms have stated by the Company), and accepts that interest for late payment will be added at 3% above the bank base rate.
  4. The Client shall be responsible for the goods once they arrive on site, any damaged or stolen goods will be added to the charge to the Client.
  5. The Client shall allow access to all necessary facilities and access to the premises to the Company for the purposes of carrying out it's services.
  6. The Client must notify the Company immediately if the Client becomes aware of any defect in the Services.
  7. If the Client interferes, alters or allow interference or alterations with the Equipment, the warranty shall be made void.
  8. It is the Client's responsibility to notify the Company of the presence of any hidden wiring, pipework or items that may become damaged as a result of drilling into a wall, ceiling, floor or item.

The Company's Obligation

  1. The Client will endeavour to supply Equipment and Services as details in their Quotation, within the timeframe agreed upon. If the company is unable to provide this and no Equipment or services have been ordered or carried out, then the Client will be permitted to cancel the agreement with the Company up to 7 days before the scheduled installation.
  2. Any charge for maintenance of a system shall cover inspection, testing and cleaning of the Equipment by the Company. The charge shall not cover cost of repairs or replacement to the Equipment, these costs will be added to the invoice if agreed with the Client.
  3. The Company agrees to hold Public Liability cover of £5 million or greater
  4. The Company will treat the Client's property with respect and report any issues regarding the installation without delay.

Limitation of Liability

  1. The maximum amount of damages payable by either the Company or Client to the other in repect to any and all liability including liability arising from accidental damage, in connection with the Quotation shall not exceed the amount relating to the Quotation.
  2. Under no circumstances shall the Company be liable for consequential loss to the Clients or any third party.
  3. The Company shall not be held liable for any costs as a result of damage to hidden electrical wiring, low voltage wiring, water pipes or gas pipes, where the Client had not previously notified the Company of it's presence.
  4. The Client agrees with the Company that anyone carrying out work for the Company shall be entitled to the protetion of all the terms and conditions hereof in any claim by the Client against such persons.

Termination of Agreement

  1. by either party giving to the other no less than 14 days notice in writing, so long as no Equipment has been purchased for the Quotation by either party.
  2. by either party in breach of the other party's obligations.
  3. All remaining monies owed to the Company must be immediately paid.

Warranty

  1. We will take reasonable care of the Customer's Equipment whilst in our custody and make good any damage or loss caused by our failure to exercise reasonable care, our liability being limited to the replaement value of the Equipment in question.
  2. The warranty of our installation is set at one year from the date of installation (including parts and labour, excluding batteries, fuses and perishable parts).
  3. The warranty will be made void on any Equipment that is altered or tampered with.

VAT

Unless indicated otherwise, all sums under this contract are stated exclusive of Value Added Tax (which will be charged ontop of all costs at point of invoice).
